Clayborn & Associates, LLC provides general counsel services to many of our clients. These services include the formation of entities, the preparation of applications for and acquisition of 501(c)(3) or 501(c)(4) status, the preparation and modification of organizational documents including bylaws, partnership agreements, and operating agreements. We also prepare authorizing resolutions, incumbency certificates, and secretary certificates which authorize the signatories for transactions. Further, we also develop and provide policy manuals for our clients which address their corporate governance and compliance needs. Finally, we represent our clients in any administrative or legal proceeding in which they are a party to.
