Jessica began her work with Clayborn & Associates, LLC as a paralegal in 2019. Her duties include the formation of the entities engaged in the development. This includes the preparation of initial, corporate, partnership, and limited liability company organizational documents, the acquisition of Employer Identification Numbers (“EINs”) and preparation of authorizing resolutions. She also manages the yearly administrative reporting for entities. Jessica assists in the resolution of due diligence matters, such as survey and title issues, preparing required documents to release liens and encumbrances such as property liens or certificates of dangerous buildings. She also works with the attorneys to review and address loan closing documents and participates in the actual closing of the transaction.  Jessica also assists in the drafting and managing applications for 501(c)(3) and 501(c)(4) status, compiling and managing applications for reinstatement of entities with the Secretary of State’s Offices, managing communications with clients, businesses, and governmental agencies, managing and assisting with client litigation needs, and assisting Ulysses “Deke” Clayborn with taking a transaction from loan commitment to construction loan closing. Jessica also manages the day-to-day operations of the firm. Her duties also include managing the invoicing and billing process, filing client documents, corresponding with clients, and managing the firm’s social media and marketing practices. Jessica is fluent in both English and Spanish and can assist with interpretation or translation for the firm in relation to its clients’ transactional needs.
